Welcome to Gray’s Vending.
By accessing our website, purchasing digital products, or using our vending, design, or coaching services, you agree to the following terms and conditions.

1. Overview

Gray’s Vending provides:

  • Vending, Smart Cooler, and other vending services for business locations across Michigan and Northwest Ohio.

  • Graphic Design Services including marketing materials, brochures, and branding for business owners.

  • Digital Templates for vending business owners and entrepreneurs.

  • Vending Business Coaching and educational sessions for operators looking to grow or start their vending business.

These Terms of Service outline the responsibilities, rights, and expectations between Gray’s Vending and our clients or customers.

2. Vending Services

Gray’s Vending installs, maintains, and services vending machines, smart coolers, and other automated retail equipment at no cost to qualifying business locations.
By agreeing to service, the client understands and agrees that:

  • All equipment remains the property of Gray’s Vending unless purchased outright.

  • Clients will provide safe and reasonable access to the equipment for servicing.

  • Gray’s Vending is responsible for restocking, maintenance, and repair.

  • The client will promptly notify Gray’s Vending of any issues.

  • Equipment must not be moved, altered, or serviced by anyone other than Gray’s Vending.

3. Graphic Design Services

Design services offered through Gray’s Vending or its affiliated brand (Gray’s Vending Designs) include branding, marketing materials, and digital layouts for business use.

  • Clients are responsible for reviewing proofs before final delivery.

  • All final designs remain the intellectual property of Gray’s Vending until payment is received in full.

  • Designs may not be resold, distributed, or repurposed for resale without written consent.

  • Turnaround times may vary depending on project scope and client response time.

4. Digital Templates & Downloads

Digital products (such as brochures, catalogs, placement agreements, profit trackers, etc.) are delivered via instant download through our online shop.
By purchasing, you agree that:

  • These are digital products; no physical items will be shipped.

  • All sales are final — no refunds or exchanges will be issued once files are delivered.

  • Templates are for personal or single-business use only. They may not be resold, redistributed, or claimed as your own design.

  • You may customize templates for your own branding, content, and business use.

  • Gray’s Vending retains ownership of all design files and copyrights.

5. Vending Business Coaching

Coaching sessions (1:1 or group) are designed to share strategies, knowledge, and resources to help vending operators grow.

  • All advice and materials provided are for educational purposes only and do not guarantee financial results or vending placement success.

  • Clients are responsible for their own business decisions and outcomes.

  • Coaching fees are non-refundable once sessions are scheduled.

  • Rescheduling requires at least 24-hour notice.

6. Payment and Billing

  • All payments must be made in U.S. dollars.

  • For vending services, commission and payment schedules are outlined in individual service agreements.

  • For digital products and design services, payment is required in full prior to delivery.

  • For coaching sessions, payment is due at booking.

Gray’s Vending uses secure, encrypted payment processing systems. We do not store credit card information.

7. Liability and Insurance

Gray’s Vending maintains full general liability insurance and ensures all vending equipment meets applicable safety standards.
We are not liable for damages caused by:

  • Power outages or environmental factors.

  • Unauthorized movement or tampering with machines.

  • Misuse of digital products or coaching information.

8. Confidentiality

All client information shared with Gray’s Vending during service, design projects, or coaching sessions will remain confidential and will not be shared with third parties without consent.

9. Intellectual Property

All materials, designs, and content created by Gray’s Vending (including logos, templates, images, and text) remain our intellectual property.
You are granted a non-transferable, limited license to use purchased materials for your business only.

10. Termination of Service

Either party may terminate a vending or design service agreement with 30 days’ written notice.
Gray’s Vending reserves the right to withdraw or cancel service at any time in cases of:

  • Non-payment

  • Breach of agreement

  • Unsafe site conditions or misuse of equipment

11. Force Majeure

Gray’s Vending is not liable for delays or failures in performance caused by events beyond our reasonable control (such as natural disasters, power failures, or supply chain disruptions).

12. Governing Law

These Terms are governed by the laws of the State of Michigan, and any disputes shall be handled through arbitration or in an appropriate Michigan court.
